The IPAA, the related attachments, the entitlement ledger, the subscription and support renewal cycle, and the swap and trade up history all sit underneath every IBM transaction. We read the position end to end.
Passport Advantage is IBM's umbrella programme for software acquisition, subscription and support, and entitlement administration. The legal frame is the International Passport Advantage Agreement, the IPAA, plus the country attachment, plus the relevant attachments for specific programmes such as Software Subscription and Support, Fixed Term Licence, Authorised User definitions, and IBM Sub Capacity terms. Every PVU based product entitlement and almost every user based product entitlement an enterprise holds sits inside this frame.
The IPAA also defines the audit right. Section three of the standard IPAA grants IBM, or an auditor IBM appoints, the right to verify compliance with the licence terms for the programmes. That is the legal basis for the audit workflow described on the audit defense page. Reading the IPAA carefully is therefore a prerequisite for any meaningful licence consulting or audit response.
Inside the IPAA frame, the entitlement ledger is the operating record. Every order, every trade up, every renewal modifies the ledger. Reconciling the ledger against the deployed footprint and against the customer agreement is the routine work of the licence consulting practice. See license consulting.
Assemble the IPAA, attachments, country addendum, and any standing transactional documents. Read for anomalies in the audit right, the discount tier, the renewal terms, and any negotiated exceptions. Flag clauses that diverge from the standard IBM template.
Pull the current entitlement view from the Passport Advantage account. Validate it against order history, trade up records, and acquired entitlement from M and A. Identify gaps, duplicates, and stranded entitlement.
Read the S and S renewal schedule. Identify products with lapsed maintenance, products on out of support versions, and products where reinstatement would cost more than re acquisition. Sequence renewal decisions around the next anniversary.
Build the position into the upcoming renewal or contract event. Document the optimization moves, the harvesting opportunities, and the contract changes the buyer should request. Hand over to the negotiation practice where appropriate.
IBM maintains the current published IPAA and country attachments online. The version that applies to a specific entitlement is the one in force at the time the entitlement was acquired, unless the customer has signed onto a new version. We extract the right version per entitlement.
The standard template is rarely modified. Larger enterprises with material spend can negotiate specific exceptions, typically around the audit clause, the price protection terms, and the renewal terms. The negotiation practice works on this.
The licence to the version you held remains. Upgrades, patches, and support are forfeited. Reinstatement requires a fee that often equals or exceeds the back maintenance plus a penalty. The decision is product specific and case specific.
The standard IPAA does not permit assignment without IBM consent. The entitlement needs to be transferred onto your Site number or onto a combined entity, with IBM sign off. We run this as a discrete workstream tied to the broader licence consulting engagement.
Red Hat subscriptions sit on the Red Hat Enterprise Agreement, a separate contract. Where the Red Hat entitlement was acquired through IBM, the procurement runs through Passport Advantage but the subscription terms remain the REA. See Red Hat expertise.
